  • GENERAL CONDITIONS OF SALE AND USE OF THE WEBSITE (JENNYFER)
    (Version updated in February 2022) 

    1.    PREAMBLE / DEFINITIONS 
    These general conditions of sale (hereinafter "Terms of Sale") shall comprise the rules applicable to any use of the JENNYFER (www.jennyfer.com) website (hereinafter "Website" or "Site") by the user (hereinafter “User”). In this purpose User shall be considered as any adult natural person, not a merchant, with the legal capacity to enter into an agreement, resident exclusively in one of the countries to which we deliver as herein set out (hereinafter, "You", "Your", "User"). 
    In the event of a purchase on the Website, the Terms of Sale shall govern the contractual relationship between you and STOCK J BOUTIQUE JENNYFER (simplified joint-stock company with share capital of EUR 24,988,980, entered in the Register of Trade and Companies of Nanterre under No. 330 880 180, with registered office at 3, rue Etienne Dolet (93406) SAINT OUEN Cedex, France) (hereinafter "STOCKJ"). Consequently, STOCKJ requests that you read the Terms of Sale carefully before making any purchase on or through the Website (hereinafter "Order(s)"). 

    For the purposes of these Terms of Sale, it is agreed that: 

    -    STOCKJ and you shall collectively be referred to as the "Parties" and individually as the "Party"; 
    -    The term "Item(s)" shall refer to JENNYFER brand products sold on the Website; 
    -    The term "Means of Contact" shall refer to the options STOCKJ has to make contact with you under the terms of article 9 of the Terms of Sale; 
    -    The term "Metropolitan France JENNYFER stores" shall refer to all the JENNYFER boutiques located in metropolitan France except for boutiques in Cahors, Puy en Velay and corners in large department stores; 
    -    The term "Return Form";
    -    The term "JENNYFER Warehouse" shall refer to the JENNYFER warehouse at Le Grand Roissy – Bâtiment A, rue de Guivry, 77990 LE MESNIL-AMELOT- France.
    -    "CNIL" shall refer to the Commission Nationale de l’Informatique et des Libertés [National Commission on Computer Technology and Freedoms] in France;
    -    "NS48" shall refer to CNIL Simplified Standard no. 48, specifically its provisions arising from resolution no. 2012-209 of 21 June 2012; 
    -    "TOS OR General Conditions" shall refer to the Website's General Conditions of Sale. 


    STOCKJ reserves the right to amend TOS at any time, without prior notice, which you accept. The applicable TOS to your Orders shall be the ones in force on the date of such order. It shall be your responsibility to check the General Conditions in force at the time you use the Website. 
     
    By placing an Order on the Website, you declare and recognise that you accept the Terms of Sale fully and without reservations.

    3.    YOUR UNDERTAKINGS 
    By using the Website, you undertake and acknowledge that: 
    - You are legally an adult in your country of residence or that you have the authorisation of your parent or legal guardian;
    - You will not hinder or try to hinder the proper functioning of the Website, including the contents thereof, in any way whatsoever.
    - You will not upload, post or send via the Website any material which: 
    - Restricts or interrupts another person's access to the Website; 
    - Is fraudulent, unlawful, harmful, threatening, abusive, defamatory, obscene, incites hatred or violates privacy; 
    - Constitutes or encourages conduct that is in violation of the law; 
    - Violates or infringes the rights of a third party; 
    - Contains a virus, malware, or especially an automatic data collection or extraction tool etc.; 
    - Consists of unsolicited or unauthorised promotional or advertising content, including but not limited to spam, chain e-mail, etc.

    4.    ITEMS

    4.1.    Characteristics of the Items
    The definitive description of the Items shall be the one published on the Website at the time you place your Order. 
    Each Item shall be accompanied by a description including, as a minimum, a photograph, the unit price in euros, inclusive of VAT, the sizes and colours, the composition and a brief description of the Items.
    The Items shall be described and presented as accurately as possible. However, the pictures of the Items shall only be provided for information purposes and shall have no contractual value as representations of the features of the Items. You also acknowledge and agree that there may be minimal differences between the Items delivered to you and the photograph in which they are presented. 
    4.2.    Availability of Products 
    You are hereby informed and acknowledge that the Items available for sale are simply an invitation to make an offer that you agree to submit, based on the Terms of Sale, when you place an Order. Consequently, STOCKJ shall be entitled and not obliged to accept or reject it, at its sole discretion. You will be informed of the acceptance of the offer by STOCKJ by means of an Order confirmation e-mail. 
    Furthermore, you acknowledge and accept that the Items placed in your basket are not reserved specifically for you, which may mean that they are unavailable after you have placed your Order. 
    Additionally, STOCKJ shall not be held liable if Items become unavailable after an Order has been placed. 
    However, if Items, or any part thereof, become unavailable after the Order has been placed, STOCKJ agrees to inform you by e-mail of the partial delivery or cancellation of the Order in the event of total unavailability of the Items. 
    Where only part of an Order is delivered, you will be billed for the Items delivered. No charge will be made for cancelled Items. In the unlikely event that payment for the cancelled Order has already been made, you will be reimbursed in full for the total amount within a period of no more than fourteen (14) days.  

    5.    PRICE OF ITEMS 

    5.1.    Price information
    Prices will be displayed inclusive of VAT (at the French VAT rate applicable on the day of the Order) in Euros, excluding shipping costs, which will be stated on the Order summary page. 
    By agreeing to place an Order, you acknowledge and agree that shipping charges will be added to the prices and that you agree to pay these shipping charges. Furthermore, you also acknowledge and agree to pay any additional costs which may be added to the price, including but not limited to, taxes, customs duties, etc. which may have to be paid without prior notice. 
    You acknowledge and agree that any Order placed on the basis of an incorrect or unrealistic price, as specified by the French civil code, may be refused or cancelled by STOCKJ even if your offer has already been accepted by STOCKJ. 
    5.2.    Price changes 
    STOCKJ reserves the right to change its prices at any time. Nonetheless, the prices applicable to you shall be those in force on the day you place your order, subject to article 5.1. 

    6.    ORDER 
    Your Order shall be subject to the Items being available in stock. Any Items you place in your basket shall not be reserved for you and may be purchased by other Website users until the time your Order is confirmed. 
    6.1.    Client Account 
    The placement of an order shall require an account to be created using a registration procedure on the Website. This account shall be your personal account. 
    6.2.    Steps for placing an order
    The process of placing an order shall comprise five (5) successive steps as follows: basket, delivery, invoicing details, payment, order and payment confirmation. These steps ensure that you are fully informed before making a commitment as they allow you to check the information, amend it and return to the first step of the ordering process if required. 
    When you place an Order at the end of the ordering process, you acknowledge that you are irrevocably bound by the Terms of Sale, which you accept without reservations. 
    6.3.    Order confirmation
    STOCKJ reserves the right, at its sole discretion, not to confirm the Order, including in cases where it suspects the order breaches the Terms of Sale (ex. purchase for resale etc.) 
    However, if your Order is confirmed, you will receive an e-mail summarising your Order. 
    6.4.    Order payment 
    You will pay the price of the Items in your Order in cash on the day the Order is placed. The following payment methods are accepted for this purpose: 
    -    Visa bank card;
    -    Mastercard bank card;
    -    Paypal;
    -    JENNYFER gift card. 
    If payment is made by bank card, the billing information you give when placing your Order has to match that of the bank card holder, whom STOCKJ must be able to contact directly if necessary, particularly in order to verify or request additional information, a process which may extend the initial delivery period. 
    STOCKJ reserves the right to block any order if payment is unsuccessful, an incorrect address is given or any other problem arises in connection with the Order, until the dispute is fully resolved. 
    Moreover, you guarantee to STOCKJ that you have the authorisation required to use the chosen payment method. 

    7.    SHIPMENTS/DELIVERIES

    7.1.    Delivery zones
    The Items shown on the Website are available for delivery only to the following countries: 
    Germany - Austria - Belgium - Bulgaria - Cyprus - Croatia - Denmark - Spain - Estonia - Finland - metropolitan France including Corsica - Greece - Hungary - Ireland - Italy - Latvia - Lithuania - Luxembourg - Malta - Monaco - Netherlands - Poland - Portugal - Czech Republic - Romania - United Kingdom - Slovakia - Slovenia - Sweden.
    The Items will be delivered exclusively to the delivery address given during the ordering process. No change to the delivery address can be made once the offer has become definitive, i.e. from the time STOCKJ validates the Order. 
    7.2.    Shipments/Deliveries 
    You will be billed for shipping costs, which may vary depending on the shipping method and the place where the Items are to be delivered. You will be informed of this amount during the ordering process. 
    You acknowledge and accept that the shipping options will vary depending on your delivery address.
    The Items ordered will be shipped to you in one or more packages, depending on the size of the Order. 
    You acknowledge and accept that the shipping methods will vary depending on the Order destination, and STOCKJ cannot be held responsible for this. 
     
    7.3.    Delivery times
    STOCKJ undertakes to ship your Order to you as soon as possible after the Order has been placed, in accordance with the delivery times stated when the Order is confirmed; however, the time it takes to process the Order may vary depending on the Order volume. 
    If STOCKJ is unable to respect the delivery date for whatever reason, you will be informed. If the delivery is delayed by thirty days or more after the initial delivery date, you will be free to wait for your Order or cancel free of charge and with no penalties being imposed. 
    For the purposes of these Terms of Sale, delivery will be deemed to have been carried out: 
    -    Once you or any third party designated by you is in physical possession of the goods, evidence of which will be provided by signing the Order receipt at the delivery address you specified when placing your Order or, if applicable;
    -    Once the Ordered Items have been deposited at a Parcel Delivery Centre or any other place where you can take physical possession of them. 
    STOCKJ shall not be responsible for longer shipping times in the event of force majeure or any action beyond its control, including but not limited, to any action taken by the carrier.
    7.4.    Inability to deliver 
    If the Order cannot be delivered for reasons attributable to you, the contract between us may be deemed cancelled, at STOCKJ's discretion, within a maximum period of thirty (30) days counting from the initial stipulated delivery date. 
    In this event, STOCKJ will be authorised to bill you for any additional shipping costs it may have incurred in having to terminate the contract. 

    8.    OWNERSHIP CLAUSE 
    IT IS EXPRESSLY AGREED THAT STOCKJ SHALL RETAIN FULL OWNERSHIP OF THE ITEMS UNTIL THEY HAVE BEEN PAID FOR IN FULL. However, STOCKJ assumes the risk for the Items until they are delivered as specified in the previous article. 

    9.    RECEIPT AND VERIFICATION OF ORDERS 
    At the time your Order is delivered, you must check and make sure that the Items are free of visible defects and correspond to the Order you placed in terms of both quantity and quality. Visible defects are considered to be any defects visible to the naked eye or which cannot be overlooked once pointed out. 
    If there are visible defects, particularly in terms of the number of Items ordered, you are required to notify the carrier within the statutory period after delivery (three working days for Items shipped within France and seven days for international road transport) and to inform Jennyfer within seven (7) days by one of the following contact methods ("Contact Method"): 
    -    using the contact form available at the following link: "contact us";
    -    or my email sent to serviceclients@jennyfer.com.
    In your claim, you must give all the details proving your assertion that there are visible defects and/or your reservations. 
    If the periods mentioned above have elapsed and/or you have failed to comply with the above formalities, the Items will be considered compliant and free of defects, whereby STOCKJ will no longer be liable to you and you will have no claim on these grounds that will be validly accepted by STOCKJ. 
     If the aforementioned complaints procedure is respected, once STOCKJ has given its approval, you will need to return the Items concerned in their entirety and in their original packaging in compliance with the "item return" procedure specified in article 10 (Item Return) of the Terms of Sale. 
    Moreover, should there be a lack of conformity as set out below and/or in the event of a hidden defect in an Item, you must inform STOCKJ as soon as possible after discovering the hidden defect or lack of conformity via one of the Contact Methods mentioned above. 
    In this event, once STOCKJ has given its approval, you must return the Items in compliance with the returns procedure specified in articles 11 to 15 of the Terms of Sale. 
    IMPORTANT - Where a lack of conformity in an Item is revealed over six (6) months after delivery, you must provide information to prove the existence of said defect on the day of delivery. If you do not do this, the return cannot be accepted by STOCKJ for this type of defect. 


    10.    LEGAL GUARANTEES (conformity/hidden defect/implementation)
    STOCKJ is legally required to respond, particularly in the event of a lack of conformity and hidden defects in the Items, in accordance with the conditions set out in Articles L211-1 of the Consumer Code and 1641 of the Civil Code reproduced below: 

    Article L211-1 of the Consumer Code: The seller must deliver goods that conform to the contract and shall liable for any conformity defects that exist upon delivery. The seller shall also be responsible for conformity defects resulting from the packaging, assembly or installation instructions when the contract stipulates that these are the responsibility of the seller and have been carried out done under its responsibility.
    Article 1641 of the Civil Code: The seller shall warrant that the Item sold is free of hidden defects which render it unfit for its intended use, or that impair this use to such an extent that the buyer would not have purchased it, or would have paid a lower price for it, if he had known of them.
    You have a period of two (2) years from the time the Items are delivered within which to take action under article 211-1 of the Consumer Code owing to a lack of conformity. In this event, you can choose to have the Item repaired or replaced subject to the cost-related conditions out in Article L 211-9 of the Consumer Code; with the exception of second hand goods, you are exempt from the requirement to prove the lack of conformity of the Item for twenty-four (24) months following the delivery of the Items. 
    This legal guarantee of conformity is applicable irrespective of the commercial warranty which may be granted by STOCKJ. 
    You may also choose to enforce the warranty against hidden defects as specified above, in which case, you may choose, as a solution, either to have the sale cancelled or to have the purchase price reduced in accordance with Article 1644 of the Civil Code. 

     

     

    11.    RETURN OF ITEMS

    11.1.    Methods for returning Items 
    Except for cases where returns are made due to hidden defects or lack of conformity, only Items which can be resold may be returned. Specifically this means Items must be in their original state and packaging, in perfect condition, not washed, not altered and not worn. 
    In order to be eligible for the return process, Items must be accompanied by the Return Form and/or withdrawal form if necessary (attached at the end of these Terms of Sale), as well as the invoice. 
     IMPORTANT! Warehouse Returns require you to download a Return Form you can obtain as follows: 
    -    Go to your client account and select "my orders" to access it. Then 
    -    list the Items you want to return before clicking on "confirm return". 
    -    After confirming, an e-mail containing the filled-out Return Form to be attached to the return will be sent to you. 
    You acknowledge and accept that any Items which do not fulfil these conditions shall not be taken back or exchanged by STOCKJ. 
    11.2.    Reasons and methods for returning Items  
    Delivered Items may be returned in whole or in part exclusively for the reasons given below, provided that they meet the requirements set out in article 11.1: 
    -    Visible defect; 
    -    Enforcement of one of the warranties mentioned in these Terms of Sale, that is, hidden defect, lack of conformity and right of withdrawal.  
    Whatever the reason for your dissatisfaction, you must return the Items, by your preferred method, no more than thirty (30) days after the date of delivery, in strict compliance with the methods of return specified in the articles below: 
    -    Either to our warehouse (Jennyfer, Le Grand Roissy – Bâtiment A, rue de Guivry, 77990 LE MESNIL-AMELOT- France; accompanied by the "Return Form" downloaded beforehand from the client account under "my orders") (hereinafter, "Warehouse Return") or, 

    -    To one of our JENNYFER stores in metropolitan France including Corsica and excluding stores in Cahors and Puy en Velay and corners in large department stores) (hereinafter "Store Return"). 
    IMPORTANT - For products delivered to an EU country other than France, you must do a Warehouse Return by post. 


    12.    LEGAL RIGHT OF WITHDRAWAL 
    You have a right of withdrawal from your Orders in accordance with the provisions of Article L121-20-12 of the Consumer Code (fourteen calendar days after receiving your Items) which you can exercise under the following conditions: 
    This right excludes all the exceptions stipulated by positive law on the day of your Order. 
    To exercise your legal right of withdrawal, you can notify us of your decision to withdraw using the withdrawal form (appended at the end hereof) or using one of the Contact Methods. 
    Regardless of the Contact Method used, you must return the Items to us, no more than fourteen (14) calendar days after giving notice of your withdrawal decision, either: 
    •    By doing a Store Return, for which, in addition to the Items, you must provide the confirmation e-mail along with an identity document of the person who placed the Order. 
    •    Or by doing a Warehouse Return, for which, in addition to the Items, you must provide the Return Form. 
    Subject to the provisions of article 9 (Return of Items), within fourteen (14) days of receipt of the Items, we shall refund the purchase price of the Items, plus the delivery costs (if the whole Order is returned) and the return costs at the standard rate. 

    13.    CONTRACTUAL RIGHT OF WITHDRAWAL 
    In addition to the legal right of withdrawal, subject to the provisions of article 11 (Return of Items), STOCKJ grants you a right of withdrawal to be exercised within thirty (30) calendar days of delivery as defined in article 7 of the Terms of Sale.  
    To exercise your contractual right of withdrawal, you can notify us of your decision to withdraw using the withdrawal form (appended at the end hereof) or using one of the Contact Methods. 
    Regardless of the Contact Method used, you must return the Items to us, no more than fourteen (14) calendar days after giving notice of your withdrawal decision, either: 
    •    By doing a Store Return, for which, in addition to the Items, you must provide the confirmation e-mail along with an identity document of the person who placed the Order. 
    •    Or by doing a Warehouse Return, for which, in addition to the Items, you must provide the Return Form. 
    Subject to the provisions of article 11 (Return of Items), within fourteen (14) days of receipt of the Items, we shall refund the purchase price of the Items, plus the delivery costs (if the whole Order is returned) and the return costs at the standard rate. 

    14.    ITEMS PRESENTING A VISIBLE DEFECT 
    Subject to compliance with the verification procedure specified in Article 9 of the Terms of Sale, Items having a visible defect and fulfilling the conditions of return specified in Article 11 of the Terms of Sale may be Returned to the Warehouse or to a Store. 
    To exercise your legal right, you can give us notice of your decision to terminate the Contract using one of the Contact Methods. 
    Regardless of the Contact Method used, you must return the Items to us, no more than fourteen (14) calendar days after giving notice of your withdrawal decision, either: 
    •    By doing a Store Return, for which, in addition to the Items, you must provide the confirmation e-mail along with an identity document of the person who placed the Order. 
    •    Or by doing a Warehouse Return, for which, in addition to the Items, you must provide the Return Form. 
    Subject to the existence of the visible defect being confirmed (Return of Items), we shall refund the purchase price of the Items, plus the delivery costs (if the whole Order is returned) and the return costs at the standard rate within fourteen (14) days of receipt of the Items. 

    15.    DEFECTIVE ITEMS 
    Items presenting lack of conformity or hidden defect may be Returned to either the Warehouse or a Store. 
    To exercise this legal right, you can give us notice of your decision to terminate the Contract using one of the Contact Methods. 
    Regardless of the Contact Method used, you must return the Items to us, no more than fourteen (14) calendar days after giving notice of your withdrawal decision, either: 
    •    By doing a Store Return, for which, in addition to the Items, you must provide the confirmation e-mail along with an identity document of the person who placed the Order. 
    •    Or by doing a Warehouse Return, for which, in addition to the Items, you must provide the Return Form. 
    Subject to the existence of the hidden defect or lack of conformity being confirmed under legal requirements, we shall refund the purchase price of the Items, plus the delivery costs (if the whole Order is returned) and the return costs at the standard rate within fourteen (14) days of receipt of the Items. 

    16.    FRAUD 
    You acknowledge and accept that any use of the Website or placement of an Order that violates the Terms of Sale will be subject to civil and criminal prosecution. 

    17.    FORCE MAJEURE 
    In the event of force majeure or any circumstances beyond the control of STOCKJ, such as strikes, social unrest, floods, fire and, more generally any events of an unforeseeable, unavoidable and external nature, which prevent STOCKJ (or companies it has appointed to perform its obligations) from fulfilling its obligations, the effects of the contract of sale shall be suspended. 
    STOCKJ cannot be held liable for the adverse consequences of any case of force majeure as defined above. 
    Should a case of force majeure occur as described above, STOCKJ may at its discretion cancel the Order without incurring any liability. In this event, STOCKJ will refund any sums you have paid for your Order. 

    18.    LIABILITY 
    Unless otherwise explicitly stated in the Terms of Sale, STOCKJ's liability in the context of any Order shall be limited strictly to the purchase price of the Items contained in that order. 
    Regardless of the reason for which STOCKJ incurs liability, it shall not be liable for consequential damages. 
    19.    AGREEMENT REGARDING EVIDENCE
    You agree and acknowledge that the computerised records kept in the STOCKJ information system and those of its partners may be submitted as evidence of your communications, orders, payments, etc. 

    20.    INVALIDITY 
    You acknowledge and agree that should any provision of the General Conditions be considered invalid or declared as such by any decision with the authority of res judicata issued by a competent jurisdiction or enacted by a change in legislation or regulations, all the other provisions shall retain their full force and scope. 

    21.    COMPREHENSIVENESS OF THE CONTRACT 
    You acknowledge that the Conditions of Sale  are fully binding on you within the context of your relationship with STOCKJ, in particular with regard to any Order and/or use of the Website. 

    22.    CONFIDENTIALITY POLICY 
    STOCK respects your privacy, so a confidentiality policy for all of your collected data has been established as herein specified.  
    In essence, data collected by STOCKJ is processed for the purposes specified by simplified CNIL Standard No. 48. 
    However, STOCK also reserves the right to set up any other complementary system/policy to combat payment fraud. 
    Finally, and in order to optimise your Website experience, STOCKJ has set up a specific processing method, in particular through services set up on the website as detailed in the General Conditions. 

    23.    PERSONAL DATA 

    23.1.    Types of data collected
    Your use of the Website may require that you give STOCKJ the following data: 
    - Surname
    - First name
    - Home address
    - Postcode

    -Town/City
    - Country
    - E-mail address


    If you are required to provide Personal Data, STOCKJ will inform you clearly and unambiguously on the Website. 
    STOCKJ would however like to draw your attention to the fact that the information you disclose when you place an Order is essential to processing/shipping that Order, so any erroneous Data supplied or any refusal to supply Data may lead to STOCKJ not being able to fulfil your Order. 
    Your collected Personal Data are intended for STOCKJ and any agent/partner having an interest in them pursuant to the provisions of article 4 of NS48.

    23.2.    Purpose of the processing 

    All the Personal Data you supply us in the context of your Orders or by using the Website are intended to achieve the purposes stated in NS 48. 
    STOCKJ may also, with your express prior agreement, digitally store your payment card details in order to facilitate any later purchases. 
    More particularly, as part of efforts to combat payment fraud, STOCKJ may, at its discretion, process your payment card Data, in particular by storing that Data. 
    Finally, in order to offer you the best possible Website experience, STOCKJ provides a number of services that require registration and/or access to information stored on your electronic communication terminal. You will be asked to provide prior authorisation on the Website before this information is accessed. 

    23.3.    Data processing recipient 
     All data processed by STOCKJ are communicated only to the legal recipients stipulated by NS48. No data is transferred outside the European area. 
    23.4.    Data storage 
    STOCKJ only stores your data for the period of time strictly necessary to manage our commercial relationship in accordance with the provisions of article 5 of NS 48. 
    In accordance with the provisions of this same article, you agree by using the Website that STOCKJ is permitted to store your data for marketing purposes for a maximum period of three (3) years counting from the end of your commercial relationship with STOCKJ. 
    As for your payment card Data, once supplied it will be stored in strict compliance with the provisions of CNIL resolution no. 013-358 of 14 November 2013.

    24.    RIGHT OF ACCESS/AMENDMENT/DELETION
    Under Articles 38 to 40 of Law No. 78617 of 6 January 1978, amended by Law No. 2004-801 of 6 August 2004, relating to information technology, files and freedoms, you have a right to object to the data being held, as well as a right to access, correct, amend and delete the Personal Data you give us.

    The purpose of the Website is to present/sell JENNYFER brand products and allow job seekers to enter the STOCKJ recruitment process. 
    It should be noted that although the Website is available worldwide, the placement of Orders is strictly limited to users resident in the territories to which deliveries are made, as specified in the Terms of Sale.
    27.2.    Specific services
    STOCKJ reserves the right to set up specific services on the Website, the use of which must comply with these General Conditions and current legal requirements. 
    The services mentioned in the preceding paragraph may also be set up with the assistance of a third party.     29.    NON-WAIVER 
    You acknowledge and accept that if STOCKJ should fail to take action on any given breach, by you, of your obligations under these General Conditions, this shall not be construed in the future as a waiver of the obligation concerned, as STOCKJ reserves the right to assert its rights within legal deadlines. 

    30.    APPLICABLE LAW 
    Any contract concluded with STOCKJ within the framework of an Order shall be subject exclusively to French law and conflict-of-law rules shall not apply.

    Accordingly, any dispute arising directly or indirectly from the conclusion, interpretation or performance of the Orders placed on the basis of the General Conditions shall be subject to the exclusive jurisdiction of the Court of Paris of the area where STOCKJ has its registered office.
